PREAMBLE & INTRODUCTION

Welcome to Cruesoft Technologies. These Terms of Service (hereinafter referred to as the "Agreement") constitute a legally binding contract between Cruesoft Technologies (hereinafter "the Company," "We," "Us," or "Licensor") and the individual or entity accessing our digital platforms and software development services (hereinafter "the User" or "Licensee"). By accessing, browsing, interacting with, or utilizing the proprietary software, applications, and services hosted at https://cruesoft.com, the User unequivocally accepts, understands, and agrees to be bound by all of the stipulations, conditions, and notices contained herein.

All digital assets, source code, backend algorithms, visual user interfaces, graphics, and proprietary methodologies contained within this domain are the exclusive intellectual property of the Company. The User is granted a limited, non-exclusive, non-transferable, and revocable license to access the materials solely for personal, non-commercial transitory viewing and evaluation. The materials, custom software solutions, and digital services provided by the Company are delivered on an "AS IS" and "AS AVAILABLE" basis. The Company explicitly disclaims all warranties of any kind, whether expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property rights. The Company makes no absolute representations or guarantees concerning the operational accuracy, likely results, or technical reliability of the use of the materials on its website or any external links associated with our operations.

3. Limitation of Liability

In no event shall the Company, its directors, employees, technology partners, or external suppliers be held liable for any damages whatsoever (including, without limitation, direct, indirect, special, or consequential damages for loss of digital data, operational profit, or business interruption) arising out of the use or inability to use the materials on the Company’s website, even if the Company or an authorized representative has been notified orally or in writing of the possibility of such damage. Because some legal jurisdictions do not allow limitations on implied warranties or liability caps, these restrictions may vary based on your local regulations.

The User agrees to comprehensively indemnify, defend, and hold harmless Cruesoft Technologies, along with its corporate affiliates, executive officers, development directors, and operational agents, from and against any and all claims, financial damages, legal obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to reasonable attorney's fees) arising directly or indirectly from: (i) your utilization of and access to our digital services; (ii) your violation of any condition or clause of this Agreement; or (iii) your infringement upon any third-party rights, including intellectual property, copyright, property, or privacy rights.

5. Jurisdiction and Governing Law

This Agreement shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India, without regard to its conflict of law principles or provisions. Any legal dispute or proceeding arising from or relating to the subject matter of this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India. The User hereby expressly waives any objection to personal jurisdiction and venue in such designated courts.
